CAT-I.AI INC. (“CAT-I.AI,” “we,” “our,” or “us”) operates the CAT-I.AI platform and related services (collectively, the “Service”). These Terms of Use (“Terms”) govern your access to and use of the Service. By creating an account or using the Service, you agree to be bound by these Terms on behalf of yourself and any organization you represent.
If you do not agree to these Terms, you may not access or use the Service. Please read them carefully before proceeding.
1. The Service
CAT-I.AI is a cloud-based software-as-a-service (SaaS) platform designed for food manufacturing compliance, quality management, and operational excellence. The Service is accessible at https://app.cat-i.ai/ and includes tools for document management, training administration, audit readiness, HACCP plan building, AI-powered document generation, and related capabilities.
Access to additional modules (CAT-MES, CAT-QT, CAT-SCAN, CAT-ALOG) and features depends on your subscription plan. Details of available plans and features are published on our website and may be updated from time to time.
2. Account Registration and Responsibility
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. You must notify us immediately of any unauthorized use of your account.
3. Acceptable Use
You agree to use the Service in compliance with all applicable laws and regulations. You may not:
- Use the Service for any unlawful, fraudulent, or harmful purpose
- Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service
- Interfere with or disrupt the integrity, performance, or availability of the Service
- Reverse-engineer, decompile, or disassemble any aspect of the Service
- Use the Service to transmit malicious code, spam, or content that infringes on the rights of others
- Resell, sublicense, or redistribute access to the Service without our prior written consent
Violation of these restrictions may result in immediate suspension or termination of your account.
4. Subscription and Billing
Access to the Service is provided on a subscription basis. Subscription plans, pricing, and included features are described on our website. By subscribing, you agree to pay the applicable fees for your selected plan.
- Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected
- All fees are non-refundable except as expressly set forth in our Refund Policy
- We reserve the right to modify pricing with at least 30 days' written notice prior to your next billing cycle
- Failure to pay outstanding fees may result in suspension or termination of your account
5. Privacy
Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.
6. Service Availability
CAT-I.AI strives to maintain high availability of the Service. However, the Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free operation.
Scheduled maintenance windows will be communicated in advance when possible. We are not liable for outages caused by factors beyond our reasonable control, including but not limited to natural disasters, cyberattacks, third-party service failures, or internet connectivity issues.
7. Intellectual Property
All content, software, technology, designs, trademarks, and intellectual property associated with the Service are owned by CAT-I.AI or its licensors. You do not acquire any ownership rights by using the Service.
You retain ownership of all data and content you upload to the Service (“User Content”). By uploading User Content, you grant CAT-I.AI a limited, non-exclusive, royalty-free license to use, process, and store your User Content solely for the purpose of providing and improving the Service.
8. User Representations
By using the Service and uploading User Content, you represent and warrant that:
- You have the necessary rights and permissions to the content you upload
- Your User Content does not violate any applicable laws or infringe on the rights of any third party
- You will use the Service in accordance with these Terms and all applicable regulations
CAT-I.AI is not responsible for the accuracy, legality, or appropriateness of User Content.
9. Limitation of Liability
To the maximum extent permitted by applicable law, CAT-I.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to loss of data, loss of revenue, business interruption, or damages resulting from errors, omissions, or service interruptions.
Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to CAT-I.AI during the twelve (12) months preceding the event giving rise to the claim.
10. Termination
You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation, your access will continue until the end of your current billing period.
CAT-I.AI reserves the right to suspend or terminate your account at any time if you violate these Terms, engage in conduct that is harmful to other users or the Service, or for any other reason at our sole discretion. We will make reasonable efforts to notify you prior to termination unless immediate action is required.
Upon termination, you will have 30 days to export your data. After this period, your data may be permanently deleted in accordance with our data retention practices.
11. Modifications to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after updated Terms become effective constitutes your acceptance of the changes.
If you do not agree with the modified Terms, you must discontinue use of the Service before the changes take effect.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Washington, USA, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in King County, Washington.
